βWhy did you choose the traditional 506c structure for your fund?
βI think a traditional 506c fund makes a lot of sense for community-driven investors. The 506c formation allows you to publicly invite the community to be LPs in the fund, and the traditional fund structure means all LPs will have the same returns on their investments (by contrast, the LPs in a rolling fund might have substantially different returns based on the quarters in which they subscribed). Larger institutional LPs are also more comfortable with traditional fund structures, so a traditional fund makes sense for GPs like me that want to continue to grow and raise additional larger funds in the future.
βHow will you choose who gets invited into the Ganas LP family?
βWhile inviting community members to our Ganas LP family, we will look at:
βaccreditation because you need to be accredited to become an LP
βsize of committed check because we need to stay within the SEC LP limit
βskill-sets, expertise, and background because we want to lean on our LPs to succeed
βrepresentation because we want to our LP community to represent the new face of venture capital
