Every term sheet is negotiated.

Not a single startup gets funding without some sort of battle of wills.

For decades, these conversations have been not only behind closed doors but also confidential. Negotiations are rarely made public, which casts a shadow of mystery over the entire process.

We’re bringing you into the negotiation room with a Live Term Sheet Negotiation.

NYU Tandon Future Labs teams up with Morrison and Foerster (MoFo), a leading startup and venture law firm, in a debate-style event to educate early-stage founders on the anatomy of a term sheet: Find out which terms are most important to each side of a negotiation, learn how to close an investment round despite competing interests, and see the stakes behind each clause. 

Here’s how this works:

  1. Each side (startup and investor) and their representative legal counsel (a MoFo Partner) reveal to the audience the critical points they are targeting in the negotiation.

  2. A debate-style format follows, moderated by Pete Fusco, co-chair of the VC practice at Morrison Foerster.

  3. The audience asks MoFo lawyers, the founder, and the investor any questions that might have popped up during the negotiation. 

Playing the founder role in the negotiation will be Steve Kuyan, co-founder and CEO of Luro Health, a startup combatting obesity for Medicare and Medicaid patients at Community Health Centers. Prior to Luro Health, Steve co-founded, Culina Health, a leading clinical nutrition care delivery company; the NYU Tandon Future Labs, a NYC/NYU-Tandon based incubator; the NYU Center for Responsible AI, an academic research center building a future in which responsible AI is synonymous with AI; and was the first Director of Entrepreneurship at NYU Tandon launching programs like the AX Venture Studio, InnoVention, and a minor in Engineering Innovation

Steve will be represented by Jae Zhou, a startup and venture capital partner at MoFo and based in New York City.

Playing the role of investor will be Craig Wilson, a Venture Partner at Collaborative Fund, a NYC-based fund backing entrepreneurs pushing the world forward. For 10 years, He was the Executive Director of Innovation and Entrepreneurship at the NYU Tandon School of Engineering and a Managing Director at the NYU Tandon Future Labs.  Craig was the founding CEO of the Climate Collective. He also co-founded a company called The Crop Project - a regenerative agricultural processing company focused on kelp.

Craig will be represented by Frank Paz, a startup and venture capital partner at MoFo and based in New York City.
