Convertible securities are quickly becoming the standard in the US, but it can be tricky to navigate the nuances and understand what will fit your situation.

  • What is a convertible security, and how do they compare, e.g. a convertible note versus a SAFE?

  • What are the typical terms when raising pre-seed money, and what expectations are reasonable?

  • Raising Pre-Seed/Seed Money on Convertible Securities (e.g. Convertible Notes, SAFEs, etc.) and its impact on company ownership

  • Explaining Company “Valuations” as it pertains to Convertible Securities (and clarifying certain misconceptions)

  • Understanding your own Cap Table (and the importance of keeping this in order)
