We at Hashed Emergent believe that the legal structuring know-how for a token launch is still a blind spot for many founders, which is compounded by a lot of uncertainty on the Indian regulations side.
Agenda
To plug this gap, in a first-of-kind session, we have invited the experts to drop some of their black magic.
Jaideep will talk about how to structure entities outside India, what to think about when a offshore entity is selling its tokens inside India, whether an FIU-IND registration is required, and - if we’re lucky - a case study of a token launch by an Indian team.
Anita will tell us how to prepare for a token launch, and the investor/lawyer’s perspective of investing in token deals (key investor asks, deal considerations, founder negotiation points), with a focus on gaming token launches and gaming NFT launches.
George will talk about the countries used for token launches, which jurisdictions are crypto-friendly, and Indian tax risks when doing offshore token launches. George will also talk about the different kinds of deal structures (SAFT vs SAFE + token warrant).
Speakers
Anita is a member of the Elder Council at Kratos Gaming Network (KGeN), which is building the world’s largest gamer data layer and reputation engine - currently serving a community of over 5.8 million gamers across the Global South. At KGeN, she leads legal, product compliance and policy advocacy. She is an alumna of National Law School, Bangalore with 9+ years of experience advising and operating in fintech and TradFi in India.
Jaideep is a Partner in the technology law practice at Trilegal. He focuses on disruptive technologies and their interaction with the law, and has developed a deep specialisation on crypto and blockchain matters since 2016.Jaideep has advised most leading Indian and international crypto and blockchain platforms on a variety of ambiguous and high-stakes issues, including foreign exchange controls, banking restrictions, enforcement actions, and anti-money laundering compliance. He has represented such platforms and other technology clients before the Supreme Court of India and the High Courts in marquee matters. He has written and been quoted extensively on emerging technology issues, and regularly takes up teaching assignments at leading law schools.
George is a partner at SG & Associates He is a management consultant with over 10+ years of experience including stints with Big4. George has been working closely with Web3 start ups for last 4 years, primarily advising them on the international structuring and financial management.
