Nippon Steel made headlines last month when then-President Joe Biden blocked its attempted $15 billion acquisition of U.S. Steel. Concerns about national security and supply chains were also expressed by President Donald Trump — who in December pledged to block the acquisition — along with politicians from both parties and U.S. steel manufacturer Cleveland-Cliffs. Notably, the Committee on Foreign Investment in the United States failed to reach a consensus on the deal’s security risks.

Proponents of the acquisition argue that the move is in the best interest of protecting American jobs and point out that Cleveland-Cliffs’ opposition stems from their intention to acquire U.S. Steel, which would monopolize the domestic steel markets.

Now, Nippon Steel and U.S. Steel have filed multiple lawsuits in response to the alleged wrongful interference with the acquisition. What went wrong in Nippon Steel’s past, what are its next steps forward, and what lessons can we learn from this troubled acquisition as we navigate Trump’s administration?
